Welcome to Balance & Build Consulting, LLC (“Company”, “we”, “our”, or “us”). These Terms of Service (“Terms”) govern your access to and use of our consulting services, website, digital tools, communication platforms, and any other services provided (collectively, the “Services”).

Please read these Terms carefully. By engaging with our Services, you (“Client”, “you”, or “your”) agree to be bound by these Terms.

1. Nature of Services

Balance & Build Consulting, LLC provides financial and operational consulting services to construction contractors, with a specific focus on:

• Bookkeeping and payroll support
• Managerial accounting and analysis
• Business operations consulting
• Financial forecasting and business planning

WE ARE NOT A LICENSED ACCOUNTING FIRM. WE DO NOT PROVIDE CPA SERVICES, TAX FILING, OR FORMAL AUDITING. NO SERVICE OFFERED BY BALANCE & BUILD CONSULTING, LLC SHALL BE CONSTRUED AS ACCOUNTING OR TAX ADVICE.

All guidance is based on industry best practices, business education, and construction operations experience. Clients are encouraged to consult licensed tax professionals, CPAs, or attorneys for accounting, legal, or tax-specific decisions.

2. Client Eligibility

By entering into this agreement, you represent that:

• You are at least 18 years of age.
• You are engaging our services on behalf of a business entity (not for personal or consumer use).
• You have authority to bind the entity to these Terms.
• You understand and agree to our disclaimers regarding accounting services.

3. Service Delivery & Communication

Services are performed remotely through secure cloud platforms such as QuickBooks Online (QBO), Google Meet, email, and our client portal.

Clients agree to timely provide all requested information, documentation, and access necessary for the successful execution of services.

Communication is conducted via scheduled video calls, email, and client portal messaging, unless otherwise agreed.

4. Scope of Engagement

Services will be defined in an individual Service Agreement or Proposal, which outlines the scope, pricing, deliverables, and timelines. These agreements must be signed before services commence.

Any additional work or scope changes outside of the original agreement may result in additional fees and revised timelines.

5. Fees, Invoicing & Payment Terms

Services may be billed as flat monthly retainers, project-based fees, or hourly rates as outlined in your signed agreement.

Invoices are due within 15 days of receipt unless otherwise specified.

Late payments may incur a 1.5% monthly finance charge, or the maximum allowed by law.

We reserve the right to pause or terminate services for non-payment.

6. Client Responsibilities

You agree to:

• Provide accurate, complete, and timely data.
• Respond to reasonable requests for clarification or additional materials.
• Maintain access credentials for platforms used in service delivery (e.g., QBO, CRM tools).
• Comply with applicable laws and regulations in your industry.

7. Disclaimer of Warranties

ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
BALANCE & BUILD CONSULTING, LLC MAKES NO GUARANTEES OR WARRANTIES ABOUT THE OUTCOME OR SUCCESS OF IMPLEMENTING OUR SUGGESTIONS, ANALYSIS, OR STRATEGIES. YOUR BUSINESS RESULTS MAY VARY.
WE EXPRESSLY DISCLAIM ALL LIABILITY FOR TAX FILINGS, AUDIT OUTCOMES, LEGAL COMPLIANCE, OR ACCOUNTING ACCURACY.

8. Limitation of Liability

To the fullest extent permitted by law, in no event shall Balance & Build Consulting, LLC, its owners, agents, employees, or affiliates be liable for:

• Indirect, incidental, special, or consequential damages
• Lost profits, revenue, data, or business opportunities
• Errors or delays caused by incomplete or inaccurate information provided by the client

Our total liability under these Terms shall not exceed the total amount paid by you for services in the three (3) months preceding the claim.

9. Confidentiality

We agree to maintain the confidentiality of all proprietary or sensitive business information shared by the Client. Similarly, you agree not to disclose any proprietary methods, templates, or business insights we provide without express written permission.

10. Intellectual Property

All materials, tools, templates, and recommendations we develop are the intellectual property of Balance & Build Consulting, LLC unless explicitly transferred in writing. You are granted a non-exclusive, non-transferable license to use these for your internal business purposes only.

11. Termination

Either party may terminate this relationship at any time with written notice. Upon termination:

• Any unpaid fees for completed work will become immediately due.
• Access to client portals and tools will be revoked.
• Confidentiality provisions will survive termination.

12. Non-Solicitation

During the engagement and for 12 months thereafter, Client agrees not to directly solicit for employment any employee or contractor of Balance & Build Consulting, LLC without prior written consent.

13. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of the State of Louisiana, without regard to its conflict of law principles.

14. Modifications

We may revise these Terms from time to time. Continued use of our services following such changes constitutes your acceptance of the revised Terms.
